9. Indemnity

You agree to defend, indemnify, and hold harmless Makana, our affiliates, agents, suppliers, and licensors (along with our and their employees, contractors, agents, officers, and directors) from any claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including attorney's fees) that arise from:

• Your use and access to the Services, including any data or content you transmit or receive;

• Any breach of this Agreement by you, including, but not limited to, your representations and warranties;

• Your infringement of any third-party rights, including privacy or intellectual property rights;

• Any violation of laws, rules, or regulations by you;

• Unauthorized use of the Services or Auction Data, or any breach of the restrictions on use as outlined in this Agreement;

• Any gross negligence or willful misconduct by you;

• Use of the Services under your account by a third party using your username, password, or security code.
